Terms

End User Terms

These End User Terms (“Terms”) govern your individual access to and use of the TNX Data platform (“Platform”). They apply to you as a named user — separate from, and in addition to, the agreement between TNX Data Pty Ltd (“TNX Data”, “we”, “us”) and the organisation that has subscribed to the Platform (“Customer”).

Commercial terms are agreed with each organisation. The agreement between TNX Data and the organisation that subscribes — our Terms of Service — is negotiated for that customer rather than published here. These End User Terms and our data processing addendum apply alongside it.

If you are evaluating TNX and want to see what that agreement looks like, ask us for an example through the contact form.

1. Who these Terms apply to

1.1 These Terms apply to every individual who accesses the Platform using an account provisioned for them, regardless of whether they are an employee, contractor, consultant, or other representative of the Customer.

1.2 The Customer’s agreement with TNX Data — our Terms of Service — governs the commercial relationship between TNX Data and the Customer. These Terms govern your personal obligations as an individual user.

1.3 The Customer is responsible for ensuring that anyone they authorise to access the Platform has read and accepted these Terms before accessing it.

2. Account security

2.1 Your account credentials are personal to you. You must not share your username, password, or any authentication factor with any other person.

2.2 You are responsible for all activity that occurs under your account. If you become aware that your credentials have been compromised or your account has been accessed without your authorisation, you must notify TNX Data immediately.

2.3 Multi-factor authentication is required on your account. You must keep your MFA device secure and report its loss or compromise immediately.

3. Acceptable use

3.1 You may use the Platform only for lawful purposes and only in connection with the Customer’s authorised use of TNX Data’s services.

3.2 You must not:

  1. access any data, account, or system within the Platform that you have not been authorised to access by the Customer;
  2. attempt to circumvent, disable, or interfere with any security feature, access control, or audit mechanism of the Platform;
  3. reverse engineer, decompile, or attempt to extract the source code, methodology, or underlying models of the Platform;
  4. use the Platform to process or submit data that you do not have authority to process, or that infringes a third party’s rights;
  5. use automated tools, scripts, or bots to access, scrape, or extract data from the Platform; or
  6. use the Platform in any way that violates applicable law or regulation, including the laws governing the data you are accessing.

4. The append-only record

4.1 The Platform maintains an append-only, bitemporal record. This means:

  1. No value you enter or approve is updated or deleted in place. A correction creates a new attributed entry, not a replacement.
  2. Every correction or amendment carries your identity, the timestamp, and the reason you provided. This attribution is permanent.
  3. Deleting a source document appends a retraction — the document is withdrawn from use but the underlying record of its submission remains.
  4. The record may be queried by auditors, regulators, and your organisation for any point in time, including after you have left the organisation.

4.2 By using the Platform you acknowledge and accept the append-only nature of the record, including that your actions will be permanently attributed to you by name.

5. Logging and monitoring

5.1 TNX Data logs all authentication events (sign-in, sign-out, token refresh), all data access events, and all corrections and amendments made within the Platform. These logs are retained in accordance with TNX Data’s data retention policy.

5.2 Logs may be accessed by TNX Data for the purposes of security monitoring, incident response, and providing the services. They may also be accessed by your organisation and, where required by law or regulation, by regulators or auditors.

5.3 You consent to this logging as a condition of accessing the Platform.

6. Data you submit

6.1 You are responsible for ensuring that any data you submit to the Platform is accurate, complete, and that you have the authority to submit it.

6.2 Where a document is processed by an AI model within the Platform, figures are extracted by deterministic, versioned rules. Any value extracted carries a confidence score. You are responsible for reviewing AI-extracted values before approving them for inclusion in the compliance record.

6.3 Your approval of an extracted or corrected value is an action attributed to you.

7. Your account and leaving the organisation

7.1 Your access to the Platform is contingent on your continued authorisation by the Customer. TNX Data will suspend or terminate your access immediately upon instruction from the Customer.

7.2 When you leave the organisation, your access will be revoked. Your actions within the Platform — including corrections, approvals, and amendments — remain permanently attributed to you in the record.

7.3 You must not take any action before leaving, including downloading, copying, or transmitting data, that you are not authorised to take in the ordinary course of your role.

8. Reporting security issues

8.1 If you discover or suspect a security vulnerability in the Platform, you must report it immediately.

8.2 TNX Data will not take action against you for reporting a genuine security issue in good faith, provided you give TNX Data a reasonable opportunity to address it before disclosing it elsewhere.

9. Changes to these Terms

9.1 TNX Data may update these Terms from time to time. You will be notified of material changes at least 30 days before they take effect, and will be required to re-accept the updated Terms at your next login.

9.2 If you do not accept the updated Terms, your access to the Platform will cease.

10. Governing law

10.1 These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from or in connection with these Terms is subject to the exclusive jurisdiction of the courts of New South Wales.

11. Contact

11.1 For questions about these Terms, contact TNX Data via the contact form at tnxdata.com.
